Distributor acknowledges that there is currently no withholding tax, levy, or other duty which must be paid under the law of any part of the Territory with respect to amounts due or to become due to Licensor under this Agreement. Accordingly, subject to the terms of the next sentence, Distributor agrees that it shall not deduct any such tax from the amounts payable to Licensor hereunder. If, after the date hereof, there is a change in any applicable law or tax treaty such that Distributor becomes required to withhold or deduct any amounts from payments otherwise required to be paid to Licensor under this Agreement, Distributor shall: (a) provide written notice to Licensor of its intention to pay any such tax, the nature of such tax, and the amount thereof at least thirty (30) days prior to any such payment; and (b) provide Licensor with a valid receipt from the applicable governmental authority evidencing the payment so made by Distributor promptly following payment thereof.
